1.Introduction and Acceptance of Terms

Welcome to AutoVoB.

These Terms and Conditions ("Terms") constitute a legally binding agreement between AutoVoB and any individual, business entity, organization, dealer, advertiser, manufacturer, fleet operator, importer, exporter, service provider, or other person accessing or using the Platform ("User", "you", or "your").

These Terms govern access to and use of all AutoVoB products, services, software, websites, mobile applications, APIs, dealer portals, communication systems, social networking services, advertising services, premium services, and any related offerings made available by AutoVoB now or in the future.

By accessing, browsing, registering for, downloading, installing, subscribing to, advertising on, communicating through, or otherwise using the Platform, you acknowledge and agree that:

• (a) you have read and understood these Terms;
• (b) you agree to be legally bound by these Terms;
• (c) you have authority to enter into this agreement;
• (d) you will comply with all applicable laws and regulations; and
• (e) you accept all risks associated with use of the Platform.

If you do not agree to these Terms, you must immediately discontinue use of the Platform.

AutoVoB reserves the right to deny access to any person or entity at its sole discretion, subject to applicable law.

2.Definitions and Interpretation

For purposes of these Terms, the following definitions shall apply.

2.1 AutoVoB

"AutoVoB", "Company", "we", "our", or "us" means AutoVoB and its parents, subsidiaries, affiliates, successors, assigns, officers, directors, employees, representatives, contractors, licensors, and authorized agents.

2.2 Platform

"Platform" means all AutoVoB-operated websites, applications, mobile applications, dealer systems, APIs, communication systems, software, databases, content management systems, advertising systems, premium services, future technologies, and related products and services.

2.3 User

"User" means any individual or legal entity accessing or using the Platform.

2.4 Buyer

A User seeking to purchase, lease, rent, exchange, acquire, reserve, finance, or otherwise obtain a Vehicle or Transportation Asset.

2.5 Seller

A User advertising, listing, offering, leasing, renting, exchanging, promoting, transferring, or selling a Vehicle or Transportation Asset.

2.6 Business User

Any commercial entity, dealer, fleet operator, rental company, leasing company, manufacturer, importer, exporter, broker, advertiser, agency, consultant, financial institution, or service provider using the Platform for business purposes.

2.7 Vehicle

Vehicle includes, without limitation:

• Cars
• SUVs
• Pickup Trucks
• Motorcycles
• Scooters
• Bicycles
• Commercial Vehicles
• Buses
• Trucks
• Heavy Equipment
• Construction Machinery
• Agricultural Machinery
• Watercraft
• Boats
• Yachts
• Jet Skis
• Aircraft
• Helicopters
• Recreational Vehicles
• Utility Vehicles
• Special Purpose Vehicles
• Transportation Assets of any type

2.8 Content

Any information, text, image, video, audio recording, software, data, listing, advertisement, review, comment, message, communication, document, or material uploaded, submitted, displayed, transmitted, stored, or published through the Platform.

2.9 SocioMart

SocioMart refers to AutoVoB's proprietary Marketplace + Social Media ecosystem that allows Users to communicate, publish content, create communities, follow accounts, build relationships, promote businesses, discover opportunities, and engage in Vehicle-related commerce and interactions.

3.Platform Overview

AutoVoB operates a global digital technology platform designed to facilitate communication, networking, discovery, advertising, and commerce relating to transportation assets.

The Platform enables Users to:

• Create personal profiles
• Create business profiles
• Publish content
• Upload listings
• Advertise vehicles and services
• Follow other Users
• Send messages
• Join communities
• Discover inventory
• Compare offers
• Build reputation
• Grow commercial visibility

AutoVoB is a neutral technology provider. It does not participate in, supervise, or guarantee any transaction agreed between Users.

4.Platform Status and Limited Role of AutoVoB

AutoVoB acts solely as an intermediary technology service. It is not a party to any agreement formed between Users and holds no title, custody, or control over any Vehicle listed on the Platform.

5.Eligibility to Use the Platform

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and legally capable of entering into binding contracts to register for or use the Platform.

6.Account Registration

You agree to provide accurate, current, and complete registration information and to keep it updated at all times. AutoVoB may refuse, suspend, or reclaim any account or username at its discretion.

7.Account Security

You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account. Notify AutoVoB immediately of any unauthorized access.

8.User Verification

AutoVoB may, but is not obliged to, verify identity, business registration, ownership documents, or contact details. Verification badges do not constitute an endorsement or guarantee.

9.SocioMart Services

SocioMart combines marketplace and social networking functionality. Content published through SocioMart may be publicly visible, indexed by search engines, and shared by other Users.

10.General User Obligations

You agree to use the Platform lawfully, honestly, and respectfully, and not to interfere with its operation, security, or availability.

11.Seller Representations and Warranties

Sellers represent that they hold lawful title or authority to offer each listed Vehicle, that all descriptions are accurate, and that no material defect has been concealed.

12.Prohibited Obligations

Fraud, misrepresentation, stolen goods, odometer tampering, illegal imports, harassment, spam, scraping, reverse engineering, and circumvention of Platform fees are strictly prohibited.

13.Vehicle Listing Requirements

Every listing must include accurate specifications, condition, pricing, location, and ownership status, and must reflect a genuine intent to transact.

14.Images, Videos, and Media Content

Media must depict the actual asset offered. Stock imagery, watermarks of third parties, misleading edits, and borrowed photographs are not permitted.

15.Dealer Accounts

Dealer accounts are subject to additional verification, listing limits, subscription terms, and compliance obligations set out in the applicable dealer agreement.

16.Business Accounts

Business Users warrant that the individual accepting these Terms is authorized to bind the organization they represent.

17.Communications and Messaging

Messaging tools may be used only for genuine, Platform-related communication. Bulk, automated, or unsolicited commercial messaging is prohibited.

18.Community Standards

Hate speech, threats, sexual content, discrimination, impersonation, and targeted harassment are not tolerated anywhere on the Platform.

19.User-Generated Content

You retain ownership of your Content and grant AutoVoB a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, and distribute it for operating and promoting the Platform.

20.Content Moderation, Fraud Prevention, and Platform Enforcement

AutoVoB may review, restrict, label, remove, or refuse Content and may suspend accounts where risk, fraud, or policy breach is suspected.

21.Intellectual Property Rights

All Platform software, design, trademarks, databases, and branding remain the exclusive property of AutoVoB and its licensors.

22.Copyright Policy

AutoVoB responds to valid copyright notices and may terminate accounts of repeat infringers.

23.Trademark Complaints

Trademark owners may submit complaints regarding unauthorized use of protected marks within listings, profiles, or advertisements.

24.Advertising Services

Advertising placements are subject to availability, editorial approval, applicable rate cards, and separate insertion terms.

25.Premium Services

Premium features are optional, may change over time, and are provided on the terms disclosed at the point of purchase.

26.Subscriptions

Subscriptions renew automatically unless cancelled before the renewal date. Cancellation stops future billing but does not retroactively refund a current term.

27.Fees and Payments

You are responsible for all fees, taxes, and payment processing charges associated with your use of paid services.

28.Refund Policy

Except where required by law, fees for delivered digital services, promotions, and completed advertising placements are non-refundable.

29.Verification Services

Optional verification, inspection, or history-report services may be provided by third parties and are supplied on an as-is basis.

30.Artificial Intelligence and Automated Systems

The Platform uses automated systems for ranking, recommendations, pricing guidance, moderation, and fraud detection. Automated output may contain errors and should not be relied upon as advice.

31.Vehicle Compliance and Regulatory Responsibilities

Users are solely responsible for roadworthiness, registration, emissions, safety, insurance, and licensing obligations in their jurisdiction.

32.Cross-Border Transactions

Users engaging in cross-border transactions must independently satisfy customs, taxation, homologation, and transport requirements.

33.Import and Export Compliance

You must not use the Platform in breach of any applicable import, export, or re-export control law.

34.Sanctions Compliance

The Platform may not be used by, or for the benefit of, any sanctioned person, entity, or territory.

35.Anti-Money Laundering (AML) and Financial Crime Prevention

AutoVoB may report suspicious activity to competent authorities and may freeze or restrict accounts pending review.

36.Consumer Protection Compliance

Nothing in these Terms limits statutory consumer rights that cannot lawfully be excluded in your jurisdiction.

37.Third-Party Services and Integrations

Links and integrations to third-party services are provided for convenience. AutoVoB is not responsible for third-party content, terms, or practices.

38.Privacy and Data Protection

Personal data is processed in accordance with the AutoVoB Privacy Policy, which forms part of these Terms.

39.Security

AutoVoB applies commercially reasonable safeguards but cannot guarantee that the Platform will be uninterrupted, error-free, or free of malicious activity.

40.Disclaimers and Warranty Exclusions

The Platform and all Content are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory.

41.Limitation of Liability

To the maximum extent permitted by law, AutoVoB is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, data, or goodwill.

42.User Indemnification

You agree to indemnify and hold AutoVoB harmless from claims, damages, and costs arising from your Content, your transactions, or your breach of these Terms.

43.Account Suspension and Termination

AutoVoB may suspend or terminate access at any time for breach of these Terms, legal risk, or protection of other Users.

44.User Requested Account Closure

You may close your account at any time. Certain records may be retained where required for legal, tax, or fraud-prevention purposes.

45.Dispute Resolution

Disputes between Users must be resolved directly between them. Disputes with AutoVoB shall first be raised through the Platform support channel.

46.Arbitration

Where permitted by law, unresolved disputes shall be settled by binding arbitration on an individual basis.

47.Class Action Waiver

To the extent permitted by law, claims may not be brought as a class, collective, or representative action.

48.Governing Law Framework

These Terms are governed by the laws of the jurisdiction in which AutoVoB is established, without regard to conflict-of-law rules.

49.Electronic Communications

You consent to receive notices, agreements, and disclosures electronically.

50.Electronic Signatures

Electronic acceptance and signatures have the same legal effect as handwritten signatures.

51.Force Majeure

AutoVoB is not liable for failure or delay caused by events beyond its reasonable control.

52.Assignment

You may not assign these Terms without prior written consent. AutoVoB may assign them freely as part of a corporate transaction.

53.Severability

If any provision is held unenforceable, the remaining provisions continue in full force and effect.
